THE FOLLOWING PROMOTION (THE “Promotion”) IS provided by Camera Bits, INC (“Camera Bits” or “Sponsor”) and is INTENDED ONLY FOR ENTRY FROM RESIDENTS OF THE FIFTY United States AND THE DISTRICT OF COLUMBIA, (COLLECTIVELY, THE “Eligibility Area”) AND SHALL ONLY BE CONSTRUED AND EVALUATED ACCORDING TO UNITED STATES LAW. DO NOT ENTER OR PARTICIPATE IN THIS PROMOTION IF YOU ARE NOT LOCATED IN, AND A LEGAL RESIDENT OF, THE ELIGIBILITY AREA. SEE BELOW FOR ADDITIONAL ELIGIBILITY RESTRICTIONS. VOID WHERE PROHIBITED.

ENTRY OR PARTICIPATION IN THIS PROMOTION CONSTITUTES YOUR ACCEPTANCE OF THESE OFFICIAL RULES.

1. Eligibility: This Promotion is open to persons who are: (a) legal residents of the Eligibility Area; and (b) at least 18 years of age or the age of majority in their jurisdiction of residence, whichever is greater, at the time of entry. Void in overseas U.S. territories, possessions, commonwealths and military installations, and where prohibited by law. Employees and agents of Camera Bits, its affiliates, subsidiaries, advertising and promotional agencies, any other prize sponsor(s), and any entity involved in the development, production, implementation, administration or fulfillment of the Promotion (all of the foregoing, together with Sponsor, collectively referred to as “Promotion Entities”), and the immediate family members and persons living in the same household as such individuals, whether related or not, are not eligible to win or participate in this Promotion. The Sponsor will determine eligibility in its sole discretion.
LIMITED TO ONE (1) ENTRY PER PERSON. Subsequent entries will be disqualified.

2. PROMOTION PERIOD: The Promotion begins DATE MARCH 25, 2019 at 12:01:00 a.m. US Pacific Time and ends APRIL 15, 2019 at 11:59:59 p.m. US Pacific Time (the “Promotion Period”). In order to enter the Promotion, each entrant must agree to these Official Rules. Submitting an entry to this Promotion constitutes agreement to these Official Rules and warrants that the entry complies with all requirements. This is a chance-based contest and skill plays no part in the determination of winners.

3. HOW TO ENTER: No purchase necessary to enter or win. To enter the contest, visit https://home.camerabits.com/photo-mechanic-giveaway/ during the Promotion Period, and follow the instructions for entry. Entrants must view a promotional video containing a specific designated word, and enter that word in a text field on the page. Entrants must enter their valid email to complete a valid entry. Entrants may opt in to receive promotional emails from promotional sponsors, but doing so will not affect chances of winning.
Entry must be received by 11:59 P.M. US Pacific Time on APRIL 15, 2019. Proof of submission is not proof of receipt.

4. CONDITIONS OF ENTRY: As conditions of participation in the Promotion:

(a) Each Entrant irrevocably grants to Sponsor, and its affiliates, legal representatives, assigns, and licensees, the worldwide, royalty-free, non-exclusive, sublicensable, unconditional, irrevocable, perpetual and transferable right and license to reproduce, encode, store, modify, prepare derivatives of, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used), Entrant’s Entry and Entrant’s names, addresses (city and state only), voices, likenesses, statements, biographical material and Entrant registration information, descriptions, accounts, interviews or other materials relating to the Entrant and arising out of their respective participation in this Promotion (any items in addition to the Entry are collectively referred to as the “Additional Materials”), (in each case, as submitted or as edited/modified in any way, whether by the Sponsor, its affiliates, assigns, or licensees, in the Sponsor’s sole discretion) in any media, format, or medium throughout the universe for any purpose, without limitation, and without additional review, compensation, or approval from the Entrant, or any other party, except as prohibited by law.

(b) Each Entrant individually warrants and represents that he/she has the full right and authority to grant the rights described in these Official Rules, and that no permission is required from any third party to exercise the rights granted herein.

(c) Except where prohibited by law, each Entrant on behalf of him/herself and his/her heirs, (a) forever waives any rights of privacy, intellectual property rights, and any other legal or moral rights that may preclude the use of Entrant’s Entry or Additional Materials, or require the Entrant’s permission for the use for any purpose, and (b) agrees to never sue or assert any claim against the use of the Entry or Additional Materials by the Sponsor and its affiliates, legal representatives, assigns, and licensees.

(d) Each Entrant agrees to release, discharge, indemnify, defend, and hold the Promotion Entities and their respective affiliates, and subsidiaries, and any and all of their respective officers, directors, agents, co-branders, other partners, employees, and representatives (collectively, the “Promotion Indemnitees”), harmless from any and all claims, damages, expenses, costs (including reasonable attorneys’ fees) and liabilities (including settlements), brought or asserted by any third party against any of the Promotion Indemnitees arising out of or in connection with (a) the Entrant’s Entry or Additional Materials (including, but not limited to, any and all claims of third parties, whether or not groundless); (b) any breach by an Entrant of any warranty, or representation contained in these Official Rules or terms of service or in any documentation he/she submits in connection with this Promotion; (c) Entrant’s conduct during and in connection with this Promotion, including but not limited to infringement, misappropriation, or violation of trademark, copyright, or other intellectual property rights, right of publicity, right of privacy or defamation; or (d) the acceptance of any prize.

5. Content Restrictions & Guidelines: All Entrant information submitted with an Entry:

(a) must be formatted and encoded according to the requirements set forth at the Promotion site;
(b) must be in English;
(c) must not contain any statements that might be deemed defamatory by any person (including but not limited to words or symbols that are widely considered offensive to individuals of a certain race, ethnicity, religion, gender, sexual orientation or socioeconomic group);
(d) must not include threats to any person, place, business, group, or world peace; and
(e) must not invade privacy or other rights of any person, firm or entity, and it must not in any other way violate applicable laws and/or regulations.
Each Entry will be reviewed for content before being published; however, such review does not relieve an Entrant from responsibility for compliance with these Official Rules. Entrants that do not comply with these Official Rules or whose Entry or Additional Materials otherwise contain prohibited, or inappropriate content as determined by the Sponsor, in its sole discretion, will be disqualified and will not be published or considered for this Promotion.
An Entry must not contain any commercial content that promotes, contains or references any product, service, name, logo or trademark, other than the Promotion Entities. An Entry must not, in the sole and unfettered discretion of the Sponsor, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate content.
At any time during the Promotion, Sponsor reserves the right, in its sole discretion, to disqualify and remove any Entrant where Sponsor believes, in its sole discretion, that the Photograph or Additional Materials contain any inappropriate content, infringes the rights of any third party, or otherwise does not meet any other requirements in these Official Rules. The decisions of the Sponsor on this and all matter relating to the Promotion are final and binding.

6. WINNER SELECTION: Winners will be selected by a random drawing.

7. PRIZE: Six winners will each receive one of the prizes listed in the promotion. There are six prizes total and they will be distributed at random among the winners, one prize for each winner. The prizes include:

The prizes are non-transferable and no cash alternative is available. Estimated odds of winning depend on the number of entries, and could exceed 1 in 100,000.

8. WINNER NOTIFICATION: The winner of this Promotion will be notified via email. The winner may be required to sign, notarize and return an Affidavit of Eligibility and Liability/Publicity Release (except where prohibited by law) and provide any additional information that may be required by Promotion Entities in order to be eligible to receive the prize. Except where prohibited by law, potential winners must return all such required documents and information within seven days following attempted notification, or the prize may be voided. Subject to applicable law, return of any prize notification as undeliverable, or inability of Promotion Entities to contact a potential winner may result in disqualification and selection of an alternate winner, subject to the same criteria and verification requirements described in these Official Rules. If applicable, a prize winner may be each issued an IRS Form 1099 which documents the value of the prize for tax purposes. Any difference between actual value of a prize and the approximated value of a prize in these Official Rules will not be awarded.

9. GENERAL RULES: The Promotion is governed by and subject to the laws of the United States, including all applicable US federal, state, and local laws and regulations. Void where prohibited by law. Participants agree to be bound by the Official Rules and the decisions of the judges, which are final and binding on all matters relating to the Promotion. The Promotion Entities are not responsible for any typographical or other errors in the printing of the offer, administration of the Promotion, or the announcement of the prize, or for a lost, late, misdirected, damaged, incomplete or illegal Entry.
Except where prohibited by law, notwithstanding anything in these Official Rules to the contrary, acceptance of a prize constitutes permission for the Promotion Entities to use such winner’s name, address (city and state only), statements, image, voice and/or likeness for any advertising and promotional purposes relating to the Promotion without further compensation, consideration, review or consent.
Sponsor reserves the right at its sole discretion to disqualify any individual found to be (a) tampering or attempting to tamper with the entry process or the operation of the Promotion or any Sponsor website; (b) violating these Official Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Sponsor property or service, or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Further, Sponsor reserves the right to disqualify any Entry which, in Sponsor’s sole discretion, is deemed to be offensive, libelous, slanderous, inflammatory, or otherwise inappropriate in any way for this Promotion. CAUTION: ANY ATTEMPT BY A ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

10. RIGHT TO CANCEL OR SUSPEND PROMOTION: If for any reason the Promotion is not capable of running as planned, due to infection by computer virus, bugs, worms, trojan horses, denial of service attacks, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Promotion, Sponsor reserves the right, at its sole discretion, to disqualify any individual(s) who tampers with the entry process, and/or to cancel, terminate, modify, or suspend the Promotion and, if it so chooses, to select winners from among that portion of the Promotion that has not been compromised, if any.

11. LIMITATIONS OF LIABILITY: The Promotion Entities assume no responsibility for any computer, online, telephone transmission, or technical malfunctions that may occur during participation in the Promotion. Promotion Entities are not responsible for any incorrect or inaccurate information, whether caused by website users, participants or any of the equipment or programming associated with or utilized in the Promotion; or for any technical or human error which may occur in the processing of submissions in the Promotion. Promotion Entities assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, failures or technical malfunction of any telephone network or lines, computer online systems, servers, providers, computer equipment, software, email, players or browsers, whether on account of technical problems, traffic congestion on the Internet or at any website, or on account of any combination of the foregoing (including but not limited to any such problems which may result in the inability to access the Promotion Site). PARTICIPATION IN THIS PROMOTION IS AT ENTRANT’S OWN RISK. Promotion Entities are not responsible for any injury or damage to Entrants, or participants, or to any computer related to or resulting from participating or downloading materials in this Promotion.

12. DISPUTES/GOVERNING LAW: Except where prohibited by applicable law, as a condition of participating in this Promotion, each Entrant agrees that any and all disputes which cannot be resolved between the parties, claims, and causes of action arising out of or connected with this Promotion, or any prize awarded, or the determination of winners shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will a participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, special, exemplary, incidental or consequential damages, or any other damages of any kind under any legal theory, including attorneys’ fees, other than entrant’s actual out-pocket expenses in entering into this Promotion (actual costs paid to Promotion Entities in connection with entering this Promotion). Participant further waives all rights to have damages multiplied or increased.
All issues, questions, rights, and obligations of an Entrant or other participant in connection with this Promotion shall be governed by, and construed in accordance with, the laws of the State of Oregon, U.S.A., without giving effect to the conflict of laws rules thereof and any matters or proceedings which are not subject to arbitration as set forth in these Official Rules and/or for entering any judgment on an arbitration award, shall take place in the State of Oregon, County of Washington.
To the extent permitted by law, Entrant waives the right to litigate, to seek injunctive relief, or any other judicial or procedural recourse of a dispute or claim arising from or relating to this Promotion. The parties waive rights to trial by jury in any action or proceeding instituted in connection with these Official Rules and/or this Promotion. Any controversy or claim arising out of or relating to these Official Rules and/or this Promotion shall be settled by binding arbitration in accordance with the commercial arbitration rules of the Arbitration Service of Portland. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in the State of Oregon, County of Washington, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. If a provision of these Official Rules is determined to be unenforceable in any respect, the enforceability of the provision in any other respect and of the remaining provisions will not be impaired.

13. PRIVACY: By entering or participating in the Promotion, you agree to Camera Bits’ use of your personal information provided to Camera Bits, as described in the Camera Bits Privacy Policy, located at https://home.camerabits.com/privacy-policy/, and as otherwise described in these Official Rules.

14. WINNERS LIST: Winners’ names will be announced on the Camera Bits’ Facebook and Twitter pages on or after APRIL 15, 2019. For a list of the winners email pr@camerabits.com. Requests must be received prior to April 15, 2020.
